Terms of Service

1. Acceptance

By creating an account or using PayrollTax.online (the "Service"), you agree to these Terms of Service and to our Privacy Policy. If you do not agree, do not use the Service.

The Service is operated by No. 1. 2. Trust ("we", "us", "our"), an Australian business.

2. Description of the Service

PayrollTax.online is an Australian payroll tax calculation and lodgement preparation tool. The Service connects to supported payroll platforms (Xero, MYOB, Employment Hero) to retrieve employee and pay run data, calculates payroll tax liability across Australian state and territory jurisdictions, and produces lodgement-ready outputs.

The Service is a calculation and preparation aid. It does not provide accounting, tax, or legal advice. You remain responsible for the accuracy and timeliness of your payroll tax lodgements.

3. Eligibility and accounts

You must be at least 18 years old and authorised to bind your organisation to these terms. You are responsible for:

  • Keeping your password and any trusted-device cookies confidential
  • All activity that occurs under your account
  • Ensuring users you invite to your tenant abide by these terms
  • Notifying us promptly at support@payrolltax.online if you suspect unauthorised access to your account

4. Acceptable use

You must not:

  • Use the Service to process payroll data for organisations you do not have authorisation to access
  • Reverse engineer, decompile, or attempt to extract source code
  • Interfere with or disrupt the Service or attempt to gain unauthorised access to our systems or networks
  • Use the Service to violate any applicable law, including the Privacy Act 1988, tax law, or the terms of service of any connected provider (Xero, MYOB, Employment Hero)
  • Scrape, spider, or programmatically extract data from the Service beyond the rate limits provided by our documented API
  • Use the Service to send spam, malware, or unsolicited communications

5. Third-party connections

The Service integrates with third-party payroll providers via OAuth. When you connect a provider:

  • You authorise us to access the data described in our Privacy Policy section 3
  • You remain bound by the provider's own terms of service
  • We are not responsible for the availability, accuracy, or behaviour of third-party providers
  • Disconnecting a provider at any time via Settings → Account → Connected Apps is permitted and will stop all further data access

6. Subscription, fees, and billing

Paid plans are billed in advance through Stripe. By subscribing you authorise recurring charges until cancelled.

  • Cancellation. You may cancel at any time via Settings → Billing. Access continues until the end of your current billing period. No partial refunds are issued for unused time.
  • Price changes. We may change prices with at least 30 days' notice via email. Continued use after the effective date constitutes acceptance of the new price.
  • Failed payments. If a payment fails we will attempt to recover the charge for up to 14 days. Persistent non-payment may result in access being suspended.
  • Taxes. Prices are GST-inclusive where displayed as such. You are responsible for any taxes not explicitly included.

7. Data ownership and licence

You retain ownership of all data you submit to or generate through the Service ("Customer Data"). You grant us a limited, non-exclusive, worldwide licence to host, process, transmit, and display Customer Data solely for the purpose of providing the Service to you.

We will not sell Customer Data, use it to train machine learning models, or transfer it outside the sub-processors listed in our Privacy Policy section 6.

8. Our intellectual property

The Service, its source code, rate data, UI, documentation, and brand marks are and remain our property or that of our licensors. These terms do not transfer any intellectual property rights to you beyond the limited right to use the Service.

9. Service availability

We aim for high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance or respond to incidents that temporarily degrade or suspend access. We will make reasonable efforts to notify users of extended planned outages.

10. Rate data accuracy

We source payroll tax rates, thresholds, and rules from the official state revenue office websites. We apply a versioned ruleset workflow with human approval before any rate becomes active. Despite this, rate data may contain errors, lag behind a statutory change, or be superseded between your use and a lodgement deadline. You must independently verify the calculations before lodging any return.

11. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Nothing in these terms excludes any consumer guarantee under the Australian Consumer Law that cannot be excluded.

12. Limitation of liability

To the maximum extent permitted by law, our aggregate liability under or in connection with these terms is limited to the fees you paid to us in the 12 months preceding the event giving rise to the claim. We are not liable for any indirect, incidental, consequential, or special damages, including loss of profits, loss of data, or loss of goodwill.

You acknowledge that the Service is a calculation aid and that we are not liable for any payroll tax penalties, interest, or under-payments arising from reliance on the Service. You remain solely responsible for the accuracy and timeliness of your lodgements.

13. Indemnity

You agree to indemnify and hold us harmless from any claim, loss, or damage arising from (a) your use of the Service, (b) your breach of these terms, or (c) your violation of any third party's rights, including any payroll provider's terms of service.

14. Suspension and termination

We may suspend or terminate your access if:

  • You materially breach these terms and fail to cure within 14 days of written notice
  • Your account is used for unlawful activity
  • A payment remains unpaid for more than 14 days after the due date
  • Required by a law enforcement or regulatory authority

You may terminate at any time via Settings → Account → Danger Zone → Delete account. Data deletion follows the schedule described in the Privacy Policy section 5.

15. Changes to these terms

We may update these terms from time to time. Material changes will be notified by email and by posting an updated "Last updated" date at the top of this page. Continued use of the Service after a change constitutes acceptance.

16. Governing law

These terms are governed by the laws of Western Australia, Australia. You submit to the non-exclusive jurisdiction of the courts of Western Australia and the Federal Court of Australia.
